Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Scholarly Project LLC (“we,” “us”) for the use of the Resella app and website (the “Service”). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Resella lets you photograph items, receive AI generated price estimates and descriptions, save items to an inventory, track what you paid and your potential profit, scan and organize receipts, and export your inventory to a spreadsheet. We may add, change, or remove features over time.
2. License to use the app
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use Resella on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service. You may not copy, modify, reverse engineer, sell, rent, or redistribute the app except as the law allows.
3. AI estimates and pricing disclaimer
Price estimates and descriptions are generated by automated systems and are provided for guidance only. They are estimates, not appraisals, valuations, or guarantees of what an item will sell for. Actual resale value depends on the market, condition, timing, and the platform you sell on. You are responsible for your own pricing and selling decisions. We do not provide financial, investment, tax, or legal advice, and we are not liable for any loss arising from reliance on an estimate or description.
AI generated descriptions may contain errors. Review and edit any description before you publish or rely on it. You are responsible for the accuracy and legality of listings you create from Resella content.
4. Your content and data
You keep ownership of the photos, item details, and inventory data you put into Resella. You grant us the limited permission needed to process that content so the Service can function, for example sending an item photo to the AI service to generate an estimate. You are responsible for having the right to photograph and process the items and content you submit.
5. Acceptable use
You agree not to use the Service to:
Break any law, or sell items you are not legally allowed to sell.
Upload content that infringes someone else’s rights or that is unlawful, harmful, or deceptive.
Interfere with, overload, or attempt to gain unauthorized access to the Service.
Use the Service to build a competing product or to scrape or harvest data.
6. Payments and subscriptions
Resella offers an optional paid subscription, Resella Pro. Prices and terms are shown before you buy, and purchases are processed by Apple through your App Store account. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period, and you manage or cancel them in your App Store account settings. Refunds are handled by Apple under its policies.
7. Intellectual property
The Resella app, website, name, logo, and design are owned by us and protected by intellectual property laws. These Terms do not transfer any of our rights to you except the limited license described above.
8. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error free, or that estimates will be accurate.
9. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or twenty five US dollars.
10. Indemnification
You agree to cover and hold us harmless from claims, losses, and reasonable expenses arising out of your misuse of the Service or your violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time by deleting the app. We may suspend or end your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive, including disclaimers, limitation of liability, and intellectual property.
12. Apple App Store terms
These Terms are between you and us only, not with Apple. Apple is not responsible for the app or its content. The following apply because Resella is distributed through the App Store:
Apple has no obligation to provide maintenance or support for the app. Support requests go to us at support@myresella.com.
If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
Apple is not responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, or consumer protection claims.
Apple is not responsible for investigating or resolving any third-party claim that the app infringes intellectual property rights.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
You confirm you are not located in a country subject to a US embargo or designated as terrorist supporting, and that you are not on any US restricted-parties list.
13. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Before filing any formal claim, you agree to contact us first so we can try to resolve the issue informally. Any dispute that cannot be resolved will be subject to the state and federal courts located in New York, USA, unless the law of your residence requires otherwise.
14. Changes to these Terms
We may update these Terms. We will post the updated version with a new effective date, and continued use after changes means you accept them.
